Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Settlah platform ("Service") operated by TekSpert Ltd, a company registered in England and Wales (Company No. 16711813), with VAT registration number 505 2175 24 ("we", "us", "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Definitions
- "Tenant" means a business customer of TekSpert that uses Settlah to manage accounts receivable.
- "Customer" means an end user (debtor) who owes money to a Tenant and accesses the Customer Portal.
- "Platform" means the Settlah web application, API, mobile applications, and all associated services.
- "Subscription" means your chosen service plan (Starter, Growth, or Scale) and associated features.
- "Charge" means a discrete amount owed by a Customer to a Tenant, recorded within the Platform.
2. Account and Registration
2.1 You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials.
2.2 You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of your organisation.
2.3 You are responsible for all activity that occurs under your account, including actions taken by staff users you authorise.
2.4 You must notify us immediately at support@tekspert.co.uk if you become aware of any unauthorised use of your account.
3. Use of the Service
3.1 We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service in accordance with your Subscription and these Terms.
3.2 You must use the Service only for lawful purposes and in accordance with our Acceptable Use Policy.
3.3 You must not attempt to reverse-engineer, decompile, or disassemble any part of the Service, nor attempt to access data belonging to other Tenants.
3.4 We reserve the right to suspend or terminate access to any account that violates these Terms or poses a security risk to the Platform.
4. Billing and Payment
4.1 Subscription fees are billed monthly in advance in GBP. All prices are exclusive of VAT unless stated otherwise.
4.2 Payment is processed via Stripe. By subscribing, you agree to Stripe's terms of service in addition to these Terms.
4.3 If payment fails, your account will enter a grace period of 7 days during which you retain full access. After the grace period, your account becomes read-only until payment is resolved.
4.4 You may upgrade your plan at any time, effective immediately. Downgrades take effect at the end of the current billing period.
4.5 We offer a 14-day free trial for new accounts. No credit card is required to start a trial. If you do not subscribe before the trial ends, your account will become read-only.
4.6 Refunds are handled in accordance with our cancellation policy. For subscriptions cancelled within 14 days of initial purchase, you are entitled to a full refund under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
5. Data and Privacy
5.1 Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal data.
5.2 You retain ownership of all data you upload to the Service. We do not access, use, or share your data except as necessary to provide the Service or as required by law.
5.3 We implement strict tenant isolation at the database level to ensure your data is mathematically separated from all other Tenants.
5.4 Where we process personal data on your behalf (i.e. your Customers' data), we act as a Data Processor. A Data Processing Agreement is available upon request.
6. Intellectual Property
6.1 The Service, including its source code, design, logos, and documentation, is owned by TekSpert Ltd and protected by copyright, trademark, and other intellectual property laws.
6.2 You retain all rights to your data. By using the Service, you grant us a limited licence to process your data solely to provide and improve the Service.
6.3 You may not use our trademarks, logos, or brand assets without our prior written consent.
7. Limitation of Liability
7.1 To the maximum extent permitted by law, our total liability under these Terms shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.
7.2 We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities.
7.3 Nothing in these Terms excludes or limits our liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
7.4 The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Termination
8.1 You may cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
8.2 Upon cancellation, your account becomes read-only. Your Customers can still access the Customer Portal and make payments on outstanding Charges.
8.3 Your data is retained for 90 days following cancellation, after which it is permanently and irrecoverably deleted.
8.4 We may terminate or suspend your account immediately if you breach these Terms, fail to pay fees, or if required to do so by law.
9. General Provisions
9.1 Amendments: We may update these Terms from time to time. Material changes will be notified via email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
9.2 Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
9.3 Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and any Data Processing Agreement, constitute the entire agreement between you and TekSpert Ltd.
9.4 No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
9.5 Assignment: You may not assign or transfer your rights under these Terms without our prior written consent.
10. Governing Law
10.1 These Terms are governed by and construed in accordance with the laws of England and Wales.
10.2 Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
